Automatic Data Processing Inc.'s recently announced agreement to supply Bear Stearns & Co. with a retail brokerage system resulted from ongoing negotiations that currently include provisions for phasing out the use of ADP's back-office bureau service, sources close to the talks say. As part of the broad negotiating agenda, Bear Stearns has also agreed to contract ADP's growing Proxy Services division for collection and distribution of proxy information.
