VMware to Acquire Nicira for $1 Billion

VMware and Nicira are both headquartered in Palo Alto, California.

VMware has agreed to acquire Nicira, a company specializing in software-defined networking (SDN) and network virtualization.

SDN is a process whereby operating systems and other software are completely decoupled from hardware, allowing for the rapid, virtualized provision of network infrastructure. Large-scale clients on Nicira's platform already include telecoms giant AT&T, online e-commerce leviathan eBay and mutual fund and financial services group Fidelity Investments.

VMware, majority-owned by data specialists EMC, will acquire Nicira for approximately $1.05 billion in cash, and around $210 million in assumed unvested equity awards. The deal is subject to regulatory approval, although both boards have authorized the sale, and it is expected to close in the second half of 2012.

"VMware has led the server virtualization revolution, and we have the opportunity to do the same in datacenter and cloud networking," says Paul Maritz, outgoing CEO at VMware. "The acquisition of Nicira adds to our portfolio of networking assets and positions VMware to be the industry leader in software-defined networking."
